AGREEMENT PARTIES:
This Referral Partnership Agreement is entered into between ChoPaChe, an International education consultancy company, and the undersigned Referral Partner. Both parties are collectively referred to as "Parties" and individually as a "Party".

PURPOSE: This Agreement sets forth the terms and conditions under which the Referral Partner shall refer prospective students to ChoPaChe for higher education opportunities abroad.
1. REFERRAL ROLE & RESPONSIBILITIES
The Referral Partner's role is to refer genuine prospective students to ChoPaChe. The Referral Partner shall NOT:
• Provide counseling or advisory services to students that are within ChoPaChe's scope
• Charge or collect any fee from students for services offered by ChoPaChe free of cost
• Represent, promote, or collect money for ChoPaChe's premium paid services without authorization
• Engage in misleading, coercive, or fraudulent practices in the referral process
The Referral Partner must operate with integrity and maintain professional standards at all times.
2. DEFINITION OF CONVERSION
A "Conversion" occurs ONLY when a referred student:
• Completes all procedural steps as required by ChoPaChe
• Secures admission to a recognized foreign university through ChoPaChe
• Enrolls in the course, travels to the destination country, and commences the academic program
• Does not withdraw or abscond after entering the destination country
• Continues participation in accordance with university attendance and engagement requirements
Important: If the student fails to fulfill university obligations and the university withholds payment to ChoPaChe, the corresponding referral fee shall be disavowed and not payable.
3. PAYMENT TERMS & COMMISSION STRUCTURE
Referral fees are based on destination country, level of study (Undergraduate, Postgraduate, Certificate programs), and other factors as specified in the Commission Schedule (Annexure A).
Payment Conditions - ALL must be met:
• Verified successful Conversion as defined above
• Official confirmation of enrollment and course commencement received from university
• ChoPaChe receives corresponding payment from university or authorized stakeholders
• Payments made within maximum 90 days of condition fulfillment
• Payment timeline contingent upon ChoPaChe receiving funds from university
• NO referral fee for partial progress, incomplete applications, or non-commencement
4. PROHIBITION ON MISREPRESENTATION OR FRAUD
The Referral Partner shall NEVER:
• Collect money from students for ChoPaChe's free services
• Represent themselves as an official agent of ChoPaChe's paid services
• Provide false, misleading, or fraudulent information to students or third parties
Violation Consequences: Immediate agreement termination and potential legal proceedings. ChoPaChe is not liable for damages arising from Referral Partner's misconduct.
5. CONFIDENTIALITY, DATA PROTECTION & NON-SOLICITATION
The Referral Partner agrees to:
• Maintain strict confidentiality regarding student data and ChoPaChe's business information
• Adhere to applicable data protection laws and obtain proper consent before sharing student data
• NOT solicit, divert, or induce students to bypass ChoPaChe or seek competing services
• Maintain non-solicitation obligations during agreement term and 12 months thereafter
6. NO EMPLOYMENT OR AGENCY RELATIONSHIP
This Agreement does NOT create an employer-employee relationship, partnership, joint venture, or agency between the Parties. The Referral Partner acts as an independent contractor with no authority to bind ChoPaChe in any agreements or commitments.
7. INDEMNITY & LIABILITY
The Referral Partner shall indemnify, defend, and hold harmless ChoPaChe from claims, liabilities, damages, or expenses (including legal fees) arising from:
• Any misrepresentation or negligence by the Referral Partner
• Breach of obligations under this Agreement
• Unauthorized dealings with students or third parties
8. TERM & TERMINATION
• Agreement term: 12 months from effective date (renewable by mutual consent)
• Either party may terminate with 30 days written notice
• ChoPaChe may terminate immediately for fraud, misconduct, or material breach
Upon Termination: No referral fees due for incomplete conversions; Referral Partner must cease using ChoPaChe's name, branding, or materials.
9. PERFORMANCE STANDARDS & QUALITY ASSURANCE
The Referral Partner commits to:
• Provide genuine, qualified leads with complete and accurate student information
• Maintain timely communication and professional conduct
• Attend training sessions and stay updated with ChoPaChe's processes
• Submit monthly reports on referral activities and prospects
10. INTELLECTUAL PROPERTY & BRANDING
All ChoPaChe branding, logos, marketing materials, and intellectual property remain ChoPaChe's exclusive property. The Referral Partner may not use, modify, or distribute these materials without prior written consent and must return all materials upon termination.
11. DISPUTE RESOLUTION & GOVERNING LAW
• Disputes shall first be resolved through good faith negotiations
• Failing resolution within 30 days, disputes subject to courts of Puducherry, India.
• Agreement governed by and construed in accordance with applicable laws
12. COMPLIANCE WITH LAWS & REGULATIONS
The Referral Partner agrees to comply with all applicable laws, regulations, and industry standards regarding referral partnerships, educational services, tax obligations, business licensing, and consumer protection laws in their jurisdiction.
I/We have read, understood, and agree to be bound by all terms and conditions of this Referral Partnership Agreement. I/We confirm understanding of the conversion requirements, payment conditions, and obligations set forth herein.
